By accessing or using RankNest ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access or use RankNest.

These Terms apply to all visitors, users, and others who access or use the Service.

2. Account Registration

2.1 Account Creation

To use RankNest, you must register for an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your team members comply with these Terms

2.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

3. Subscription and Billing

3.1 Subscription Plans

RankNest offers various subscription tiers (Starter, Standard, Scaling). Each plan has usage limits as described on our Pricing page.

3.2 Payment

• Subscriptions are billed monthly in advance
• Payments are processed securely through Stripe
• You authorize us to charge your payment method automatically
• All fees are non-refundable except as stated in our refund policy
• Prices are subject to change with 30 days notice

3.3 Refund Policy

We offer a 30-day money-back guarantee for new subscription purchases. Trial purchases are non-refundable. Refund requests must be submitted to billing@ranknest.io.

3.4 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

4. Usage Limits and Fair Use

4.1 Plan Limits

Your subscription plan includes specific limits on:

• Number of active clients
• Team members
• Link maps per client
• Pages crawled per month
• SEO experiments
• Message mining entries per month
• Content pages analyzed per month

4.2 Overage Policy

If you exceed your plan limits, we will notify you and may:

• Temporarily restrict new actions until you upgrade
• Contact you to discuss upgrading to a higher tier
• Continue service with the understanding you'll upgrade within 7 days

We do not charge overage fees. We believe in transparent, predictable pricing.

5. Acceptable Use Policy

5.1 Permitted Use

You may use RankNest for legitimate SEO and digital marketing purposes, including:

• Managing client SEO campaigns
• Analyzing website performance and structure
• Conducting competitive research
• Gathering customer insights from public reviews

5.2 Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the platform
• Use the platform to spam, harass, or abuse others
• Scrape or harvest data beyond normal platform use
• Resell, sublicense, or redistribute the platform
• Share account credentials with unauthorized users
• Create multiple accounts to circumvent usage limits

6. Your Data and Content

6.1 Your Data Ownership

You retain all ownership rights to data and content you submit to RankNest. This includes:

• Client information and website data
• Link maps, experiments, and content analysis
• Custom configurations and settings
• Any materials you upload or create within the platform

6.2 License to Us

You grant us a limited license to use your data solely to:

• Provide and improve the RankNest service
• Troubleshoot technical issues
• Generate anonymized, aggregated analytics
• Comply with legal obligations

6.3 Data Backup and Deletion

We perform regular backups of your data. You may export or delete your data at any time. After account cancellation, data is retained for 90 days before permanent deletion.

7. Intellectual Property

7.1 Our Rights

RankNest and all related trademarks, logos, software, and content are owned by us or our licensors. These Terms do not grant you any ownership rights to RankNest intellectual property.

7.2 Feedback

If you provide feedback, suggestions, or ideas about RankNest, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

8. Third-Party Integrations

RankNest integrates with third-party services including:

• Google Search Console (via OAuth)
• Stripe (for payment processing)
• OpenAI (for AI-powered features)

Your use of these integrations is subject to their respective terms of service and privacy policies. We are not responsible for the availability, content, or practices of third-party services.

9. Disclaimers and Warranties

We do not warrant that:

• The service will be uninterrupted, secure, or error-free
• The results obtained from the service will be accurate or reliable
• Any errors or defects will be corrected
• The service will meet your specific requirements

10. Limitation of Liability

To the maximum extent permitted by law, RankNest and its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of opportunity
• Any other commercial damages or losses

Our total liability for all claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless RankNest and its affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the service
• Your violation of these Terms
• Your violation of any third-party rights
• Your breach of applicable laws or regulations

12. Termination

12.1 By You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

12.2 By Us

We may suspend or terminate your access immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay subscription fees
• Engage in fraudulent or illegal activities
• Pose a security risk to our platform or other users

12.3 Effect of Termination

Upon termination, your right to use RankNest immediately ceases. You have 90 days to export your data before permanent deletion. No refunds are provided for early termination.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the platform at least 30 days before the effective date. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or your use of RankNest shall be resolved through binding arbitration, except you may assert claims in small claims court. Class action lawsuits and class-wide arbitration are not permitted.
